Term of service

These Terms of Service (“Terms”) govern your access to and use of the website located at www.redsavings.ca (the “Site”) and any purchases you make through it.

The Site is operated by RedSavings (“RedSavings,” “we,” “us,” or “our”). By visiting the Site, creating an account, or placing an order, you (“you,” “customer,” or “user”) agree to be bound by these Terms, together with our Privacy Policy, Shipping Policy, Return Policy, and Refund Policy, each of which is incorporated by reference. If you do not agree to these Terms, please do not use the Site.

Business-to-business focus. RedSavings sells wholesale janitorial, foodservice packaging, industrial, and related supplies primarily to businesses and trade customers. By placing an order you represent that you are doing so for business or commercial purposes and that you have authority to bind the business on whose behalf you are ordering.

1. Eligibility and Accounts

You must be at least 18 years of age and able to form a legally binding contract to use the Site and place orders. Certain pricing and features may require you to register for an account.

•       You agree to provide accurate, current, and complete information when registering and to keep it up to date.

•       You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

•       You agree to notify us promptly of any unauthorized use of your account. We are not liable for any loss arising from unauthorized account use.

•       We may suspend, restrict, or terminate any account at our discretion, including for suspected fraud, misuse, resale outside agreed terms, or breach of these Terms.

2. Pricing, Account Pricing, and Quotes

Prices are listed in Canadian Dollars (CAD) unless otherwise stated. Some pricing is displayed only to logged-in or approved account holders, and trade or volume pricing may differ from publicly listed pricing.

•       All prices are subject to change without notice. The price applicable to your order is the price displayed at the time your order is accepted.

•       We make reasonable efforts to ensure pricing is accurate. In the event of an obvious pricing error, we reserve the right to cancel or correct the order, even after it has been confirmed, and to refund any amount already charged.

•       Any written quote we provide is valid only for the period stated on the quote, or for 30 days if no period is stated, and is subject to product availability.

Lowest Price Guarantee. Where we advertise a lowest-price or price-beat guarantee, it applies only to identical, in-stock products from a comparable Canadian competitor, subject to verification and to any conditions stated on the relevant product or policy page. We reserve the right to determine eligibility and to decline claims that cannot be reasonably verified.

3. Orders and Order Acceptance

Your submission of an order is an offer to purchase. All orders are subject to acceptance by us. A confirmation email acknowledges receipt of your order but does not constitute acceptance.

•       We reserve the right to accept, decline, limit, or cancel any order for any reason, including product unavailability, errors in pricing or product information, suspected fraud, or quantity limits.

•       Quantities may be limited and some products may be designated as special-order, non-stock, or made-to-order. Special-order items may be non-cancellable and non-returnable, as indicated at the time of purchase.

•       Title and risk of loss for products pass to you upon delivery to the carrier, except where applicable law requires otherwise.

4. Product Information, Images, and Availability

We aim to describe and display products accurately. However, we do not warrant that product descriptions, specifications, images, packaging quantities, colours, or other content on the Site are complete, current, or error-free.

•       Product images are for illustration only and may differ from the item shipped, including differences in manufacturer packaging, branding, or case quantities.

•       Manufacturers may change specifications or packaging without notice. Where a product is part of a case or bulk pack, the unit of measure and pack size shown at checkout governs.

•       You are responsible for ensuring that a product is suitable for your intended use, including any food-contact, safety, regulatory, or compliance requirements that apply to your business.

5. Payment

We accept the payment methods displayed at checkout, which may include major credit cards and digital wallets such as American Express, Apple Pay, Diners Club, Discover, Google Pay, Mastercard, PayPal, Shop Pay, and Visa.

•       You represent that you are authorized to use the payment method you provide and authorize us to charge the total order amount, including products, applicable taxes, and shipping.

•       Applicable federal and provincial taxes (such as GST/HST) are calculated and added at checkout based on the shipping destination.

•       If your payment cannot be processed, or is later reversed, declined, or charged back, we may cancel the order or suspend fulfillment and your account.

6. Shipping and Delivery

Shipping options, rates, and timelines are described on our Shipping Policy page, which forms part of these Terms. Local pickup may be available from our Windsor, Ontario location where indicated at checkout.

•       Free shipping promotions (for example, on qualifying orders over a stated threshold) apply only to eligible destinations and products, and may exclude oversized, heavy, or freight items.

•       Delivery dates and transit times are estimates only and are not guaranteed. We are not liable for delays caused by carriers, weather, or other events beyond our reasonable control.

•       You are responsible for providing an accurate, complete shipping address and for inspecting deliveries on receipt. Claims for visible damage or shortages should be reported promptly as described in our policies.

7. Returns, Refunds, and Cancellations

Returns and refunds are governed by our Return Policy and Refund Policy, which form part of these Terms. Please review those pages for full details, eligibility, and timelines.

•       Eligible products may generally be returned within the return window stated in our Return Policy, provided they are unused, in original and resalable condition, and in original packaging.

•       Certain items may be non-returnable, including special-order, custom, clearance, food-contact, hygiene, or hazardous products, and items marked as final sale.

•       Return shipping costs, restocking fees, and refund methods are as set out in our Return and Refund Policies. Refunds are issued to the original payment method unless otherwise agreed.

8. Promotions and Discount Codes

From time to time we may offer discount codes, first-order offers, newsletter incentives, or other promotions. Unless stated otherwise:

•       Promotions cannot be combined, are limited to one use per customer or account, and have no cash value.

•       We reserve the right to modify, suspend, or cancel any promotion, and to refuse or revoke a discount where we reasonably suspect misuse, fraud, or violation of the promotion terms.

9. Acceptable Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

•       Use the Site in any way that violates applicable law or regulation, or infringes the rights of others.

•       Attempt to gain unauthorized access to the Site, other accounts, or our systems, or interfere with the Site’s security or operation.

•       Introduce viruses, malware, or other harmful code, or use bots, scrapers, or automated means to access or copy Site content without our written consent.

•       Use the Site to transmit unsolicited or unauthorized advertising, or to collect information about other users.

•       Resell, reproduce, or exploit any portion of the Site, or our pricing and product data, except as expressly permitted.

10. Intellectual Property

The Site and its content—including text, graphics, logos, images, product descriptions, page layouts, and software—are owned by or licensed to RedSavings and are protected by Canadian and international intellectual-property laws.

•       “RedSavings” and our logos are our trademarks. Third-party brand names and trademarks shown on the Site are the property of their respective owners and are used for identification only; their appearance does not imply endorsement.

•       You may access and use the Site for your own legitimate business purchasing purposes. You may not copy, reproduce, republish, or distribute Site content for commercial purposes without our prior written permission.

11. Reviews and Submissions

If you submit reviews, comments, feedback, or other content to us or through the Site, you grant RedSavings a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display that content in connection with our business. You represent that your submissions are accurate, are your own, and do not violate the rights of any third party.

12. Third-Party Links and Services

The Site may contain links to third-party websites or services, and may rely on third-party providers (for example, payment processors, carriers, and the e-commerce platform that hosts the Site). We are not responsible for the content, policies, or practices of third parties, and your dealings with them are at your own risk and subject to their terms.

13. Disclaimer of Warranties

The Site and products are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, RedSavings disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except for any warranties that cannot be excluded under applicable law.

Where products carry a manufacturer’s warranty, that warranty is provided by the manufacturer and not by RedSavings. We do not warrant that the Site will be uninterrupted, secure, or error-free.

14. Limitation of Liability

To the fullest extent permitted by applicable law, RedSavings and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Site or any products purchased through it.

Liability cap. To the extent we are found liable, our total aggregate liability for any claim arising out of or related to an order will not exceed the amount you paid to RedSavings for the product(s) giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including the consumer-protection laws of Ontario and Canada.

15. Indemnification

You agree to indemnify and hold harmless RedSavings and its officers, employees, and suppliers from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, your violation of any law, or your use or resale of products in a manner that is unlawful or unsafe.

16. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree that the courts located in Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, subject to any non-waivable rights you may have under applicable consumer-protection law.

17. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above indicates when the Terms were last revised. Changes are effective when posted to the Site. Your continued use of the Site or placing of orders after changes are posted constitutes your acceptance of the revised Terms.

18. General

•       If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

•       Our failure to enforce any right or provision is not a waiver of that right or provision.

•       These Terms, together with the policies referenced in them, constitute the entire agreement between you and RedSavings regarding the Site and supersede any prior agreements on that subject.

•       You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
